A Tel Aviv court recently declined<\/em> to exercise jurisdiction over American defendants in connection with a claim by Israeli residents that they were defrauded in a real estate investment in Pennsylvania.\u00a0 Although various aspects of the court\u2019s decision are of interest, we choose to focus on the Israeli court\u2019s analysis of the fraud claim in the jurisdictional context.<\/p>\n

In Lior v. Mornal<\/em>, the Israeli plaintiffs asserted that there were multiple grounds for the exercise of personal jurisdiction by the Israeli court over the American defendants who put the real estate transaction together.\u00a0 The Israeli court rejected each asserted grounds, essentially holding that the contract claims are governed by American law and therefore should be litigated in the US.\u00a0 The court further observed:<\/p>\n

. . . the initial meeting in Israel, at the time of the visit by [one of the defendants]\u2026, cannot be said to be seen as advancing a binding contract, because at that meeting the idea of purchasing real estate in the USA was discussed in a general, nonspecific manner, after [that defendant] would identify and inform [one of the plaintiffs].<\/p>\n

The court\u2019s summary of the litigants\u2019 contentions does not contain any information that would undermine the court\u2019s conclusion as to the \u201cgeneral\u201d nature of the in-person meeting in Israel.\u00a0 Nonetheless, the Lior<\/em> court\u2019s analysis is noticeably different from that of another Tel Aviv court, in Farver v. Lake Marion Golf Estates<\/em> (Civil File 18457\/02), which was one of the first published decisions in this area.<\/p>\n

The Farver v.<\/em> Lake Marion<\/em> case also involved Israeli investors in American real estate, and after the Israelis filed suit, in Israel, against the American promoters of the deal for misrepresentations, the latter filed a jurisdictional objection.\u00a0 The Israeli court\u2019s determination as to jurisdiction turned largely on the nature of the descriptions given at a meeting, in Israel, at which a representative of the American promoters of the project gave an in-person sales pitch to prospective Israeli purchasers.<\/p>\n

In contrast to the \u201cgeneral\u201d nature \u2013 as found by the court in Lior<\/em> \u2013 of the meeting in Israel, the court in Farver<\/em> noted that the in-person meeting in Israel dealt with several significant aspects of the investment, including the likelihood that Israeli investors would be able to rent out the units that they would be purchasing.\u00a0 This level of detail led the court in Farver<\/em> to conclude that the exercise of jurisdiction in Israel would be proper in connection with the claim of misrepresentation.<\/p>\n

Although no two investment deals by Israelis abroad will be exactly the same, the contrast between the above-referenced transactions suggests that Israelis who invest in real estate abroad cannot<\/em><\/strong> assume that an Israeli court will always be willing to exercise jurisdiction over foreign defendants merely because some<\/em> meetings in connection with the investment took place in Israel.\u00a0 Courts can be expected to examine both the qualitative and quantitative nature of the in-person communications, and, where those communications are outweighed by references to the jurisdiction wherein the real estate is located, it can be assumed that the Israeli court will refrain<\/em> from exercising jurisdiction over the non-Israeli defendants.<\/p>\n
